Terms of Service

1.Service Description

DriftWatch AI is operated by DriftWatch AI LLC (“DriftWatch AI”, “we”, “us”), the legal entity you contract with under these terms. The service is B2B API proxy middleware for software developers and businesses. You point an existing LLM client at our proxy and we forward that traffic to the model provider you address.

• Prompt optimization and context pruning that remove redundant history, unused tool definitions and duplicated system text before the upstream call.
• Schema monitoring that validates responses against JSON rules you define, in strict-enforcement or log-and-alert mode.
• Model drift telemetry, latency measurement and token savings reporting across OpenAI, Anthropic and Google traffic.
• The service is middleware only: we do not supply model capacity, and your agreement with each downstream LLM provider continues to govern that provider's output.

2.Intellectual Property Ownership

All rights, title and interest in and to the DriftWatch AI™ proxy service, dashboard, software, documentation, algorithms, workflows, branding, logos, and any other content provided by DriftWatch AI LLC remain the exclusive property of DriftWatch AI LLC and its licensors.

• DriftWatch AI LLC retains full ownership of all proprietary technology used to deliver the service.
• You may not copy, modify, distribute, sell, reverse engineer, or create derivative works of our service or content without prior written permission.
• Your data and API traffic remain yours; we claim no ownership over the prompts, completions, or outputs you route through the proxy.

3.Account Terms & API Key Security

You need an account to use the proxy, and you are responsible for everything that happens under your credentials.

• You must keep DriftWatch API keys (dw_live_secret_…) confidential. Treat them as production secrets and never commit them to source control or ship them in client-side code.
• You are equally responsible for the confidentiality of your downstream LLM provider tokens (OpenAI, Anthropic, Google and others) used with the proxy.
• You must provide accurate account and billing information and keep it current.
• Rotate or revoke a key immediately if you suspect exposure, and notify us so we can help contain the traffic. Usage authenticated with your keys is billable to you.
• Accounts are for organizational use; do not share a single login across an organization when separate keys would serve the same purpose.

4.Subscription & Billing

Paid plans are recurring subscriptions billed Monthly, Annually (15% discount) or on a 3-Year term (20% discount). Checkout, invoicing, subscription management, tax, cancellations and refunds are handled by our online reseller and Merchant of Record, Paddle.com — we never receive or store your raw card details.

• Developer — free, up to 250,000 tokens/month (hard cap), 2 schema rules, 7-day log retention.
• Pro (Startup) — $299/month ($254/month billed annually, $3,048/year), 15M tokens/month, 10 schema rules, 30-day retention. Includes a 14-day free trial.
• Growth (Mid-Market) — $2,500/month ($2,125/month billed annually, $25,500/year), 150M tokens/month, 50 schema rules, 90-day retention. Billed immediately, no trial.
• Enterprise Platform — $9,999/month ($8,499/month billed annually, $101,988/year), 750M tokens/month, unlimited schema rules, 1-year retention. Billed immediately, no trial.
• Token volume overages: traffic above your monthly included volume is metered and invoiced on the following billing cycle. Free Developer accounts are hard-capped instead of metered — proxying stops at the limit until you upgrade.
• Upgrades and downgrades between paid tiers take effect immediately and are prorated against your current period.
• You may cancel your subscription (Monthly, 1-Year, or 3-Year) at any time. Upon cancellation, your account will remain active with full service access through the end of your current paid billing period, after which the subscription will not renew.

5.Payment Provider & Merchant of Record

All orders and payments are conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle handles customer service inquiries and return requests.

• Paddle.com Limited (Paddle) processes checkout, payments, subscriptions, invoicing, tax collection and refund requests on our behalf.
• All payment disputes, chargebacks and return requests are handled by Paddle in accordance with Paddle's Buyer Terms (https://www.paddle.com/legal/checkout-buyer-terms).
• We do not receive or store your raw payment card details; Paddle holds that information as the Merchant of Record.

6.Refund Policy

Refunds for subscriptions and services are handled in accordance with our Refund Policy. All purchases are backed by a 14-day refund window from the date of transaction. Refund requests can be processed via paddle.net or by contacting support@driftwatchproxy.com.

7.Limitation of Liability

The service is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.

To the maximum extent permitted by applicable law, DriftWatch AI LLC's total aggregate liability for any claim arising out of or relating to the service is limited to the total amount you paid us in the twelve (12) months immediately preceding the event giving rise to the claim.

• We do not warrant that the service will be uninterrupted, error-free or that any specific token savings, latency figure or validation outcome will be achieved.
• We are not liable for downtime, rate limiting, deprecation, pricing changes, content or model behaviour of third-party LLM APIs and provider outages, since those systems are outside our control.
• We are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill.
• You remain responsible for reviewing model output before relying on it in production decisions.

8.Fair Use & Prohibited Conduct

When using DriftWatch AI you agree not to:

• Reverse engineer, decompile, or attempt to derive the source code, pruning heuristics or internal routing logic of the proxy middleware.
• Circumvent, tamper with or under-report billing quotas, token metering, plan limits or rate limits.
• Send unlawful API traffic, or traffic that infringes third-party rights, distributes malware, or violates the acceptable-use policy of the downstream model provider.
• Use the service to attack, overload or probe our infrastructure, or to run load tests without prior written agreement.
• Resell, sublicense or white-label proxy capacity without a written agreement with us.
• Excessive automated traffic that degrades service for other customers may be throttled; we will contact you before throttling wherever practical.

9.Termination & Data Retention

Either party may end the relationship. You can cancel from the billing portal at any time; we may suspend or terminate accounts for non-payment or for the prohibited conduct described above.

• Invoices that remain unpaid after the provider's retry window put the account into a past-due state, shown as a warning on your Billing & Plan page.
• If payment is still not received, the account is suspended: proxy traffic stops being accepted and dashboard access becomes read-only. Paying the outstanding invoice restores service.
• On termination, DriftWatch API keys are revoked immediately and stop authenticating proxy traffic.
• Proxy logs, schema rules and telemetry are purged within 30 days of termination. Aggregated, non-identifying counters may be retained for capacity planning.
• Records we must keep for tax, accounting or legal purposes (such as invoices) are retained for the period the law requires.
• Export anything you need before terminating — after purging we cannot recover your logs.
